Terms of Service

1. The service

ModelGate is a gateway that sits between your application and third-party LLM providers (OpenAI, Anthropic, Google, Azure). It logs and prices your requests, audits them for waste, and can optionally cache responses and route requests to cheaper models. ModelGate does not provide the underlying models and is not responsible for their output.

2. Accounts

You must provide accurate account information and keep your credentials secure. You’re responsible for all activity under your account and API keys. You must be at least 18 and able to enter into a contract, and if you use ModelGate for an organization you represent that you’re authorized to bind it.

3. Your provider keys and provider costs

ModelGate uses your own provider API keys to fulfil requests. This means the LLM providers bill you directly for the underlying model usage — those charges are between you and each provider and are separate from ModelGate’s fees. You’re responsible for complying with each provider’s terms and usage policies. Our spend caps and limits are safety tools, not a guarantee against provider charges.

4. Acceptable use

You agree not to use ModelGate to:

• break the law, or violate any LLM provider’s terms or usage policies;
• infringe others’ rights, or send others’ personal data without a lawful basis;
• attack, overload, reverse-engineer, or circumvent the security or metering of the service;
• resell or provide the service to third parties except as expressly permitted;
• generate content that is illegal or that the providers prohibit.

We may suspend accounts that put the service, other customers, or a provider relationship at risk.

5. Fees and billing

Free trial

New accounts start on a 3-month free trial — the full product at no charge and no card required. Automatic optimizations are available during the trial.

Pro plan

After the trial, continued use of the automatic optimizations requires the Pro plan: $99 per month plus 30% of realized savings.

• The $99 base is billed monthly as a PayPal subscription you authorize.
• The 30% success fee is billed once a month as a separate PayPal invoice, for 30% of the savings the gateway realized for you that month.
• Realized savings means savings the ModelGate gateway actually produced and measured — specifically cache hits and automatic model downgrades — not estimated or potential savings shown as recommendations. Our measurement is authoritative absent manifest error.

Fees are exclusive of taxes, which you’re responsible for. Invoices are due on the terms stated on them. If a payment fails or an invoice goes unpaid, we may suspend the automatic optimizations or the account until it’s resolved. We may change pricing with reasonable notice; changes apply to the following billing period.

6. Cancellation and refunds

You can cancel the Pro subscription at any time from the dashboard; it remains active through the end of the current billing period and automatic optimizations pause after that. Success-fee invoices for savings already realized before cancellation remain payable. Except where required by law, fees already paid are non-refundable. The trial can be left at any time at no cost.

7. Availability and provider dependence

We work to keep ModelGate available but don’t guarantee uninterrupted service. ModelGate depends on third-party providers; their outages, rate limits, price changes, or model changes can affect your requests, and those are outside our control.

8. Warranties

The service is provided “as is” and “as available” without warranties of any kind, to the fullest extent permitted by law. We don’t warrant that model output is accurate, appropriate, or fit for your purpose, or that cost or savings figures will match any particular provider invoice exactly.

9. Limitation of liability

To the fullest extent permitted by law, ModelGate will not be liable for indirect, incidental, special, or consequential damages, or for lost profits, revenue, or data. Our total liability for any claim relating to the service is limited to the ModelGate fees you paid us in the three months before the claim. This does not limit liability that cannot be limited by law.

10. Indemnification

You agree to indemnify ModelGate against claims arising from your use of the service, your content and prompts, or your breach of these terms or of a provider’s terms.

11. Termination

You may stop using ModelGate and delete your account at any time. We may suspend or terminate access for breach of these terms, non-payment, or to protect the service or a provider relationship. Provisions that by their nature should survive (fees owed, disclaimers, liability limits) survive termination.

12. Changes to these terms

We may update these terms; we’ll revise the date above and, for material changes, notify account holders. Continued use after a change means you accept the updated terms.

13. Governing law

These terms are governed by the laws of the jurisdiction in which ModelGate is established, without regard to conflict-of-laws rules, and the courts of that jurisdiction have exclusive jurisdiction over disputes, except where mandatory local law provides otherwise.
